1. Introduction

These Partner Terms and Conditions (“Terms”) govern the relationship between Tunealot Digital (“Company”), registered and operating in South Africa, and its advertising partners (“Partner”). By entering into an agreement with Tunealot Digital, the Partner agrees to comply with these Terms.

2. Purpose

Tunealot Digital is a South African news and media company that publishes commentary, reactions, and opinions on current events. Partners may advertise alongside this content to reach audiences engaged with timely discussions.

3. Partner Responsibilities

Legal Compliance: Partner must ensure all advertisements comply with South African law, including the Consumer Protection Act (CPA), Advertising Standards Authority of South Africa (ASA) guidelines, and any other applicable regulations.

Accuracy: Advertisements must be truthful, not misleading, and free from false claims.

Content Restrictions: Ads may not contain hate speech, discriminatory language, violence, sexually explicit material, or political endorsements unless expressly approved in writing.

Intellectual Property: Partner must have the rights to use any logos, trademarks, or content included in advertisements.

4. Company Rights

Editorial Independence: Tunealot Digital retains full editorial control over its published reactions and opinions. Partner advertisements will not influence editorial content.

Approval: The Company reserves the right to review, approve, reject, or remove any advertisement at its sole discretion.

Placement: Ad placement is determined by the Company and may vary depending on content type, audience engagement, and platform availability.

5. Payment Terms

Fees: Advertising fees will be agreed upon in writing prior to campaign launch.

Invoices: Payment is due within 30 days of invoice issuance unless otherwise specified.

Late Payments: Late payments may incur interest charges at the maximum rate permitted under South African law.

6. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information shared during the partnership, including business strategies, financial details, and audience data.

7. Liability

Disclaimer: Tunealot Digital is not responsible for the performance of Partner advertisements or any claims made therein.

Indemnification: Partner agrees to indemnify and hold harmless Tunealot Digital against any claims, damages, or liabilities arising from Partner advertisements.

8. Termination

By Either Party: Either party may terminate the agreement with 30 days’ written notice.

Immediate Termination: The Company may terminate immediately if Partner violates these Terms or engages in conduct that harms the Company’s reputation.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts of South Africa.

10. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior discussions, negotiations, or understandings.
